Mergers & Acquisitions Associate
Tonkon Torp LLP, a prominent, full-service firm in Portland, Oregon, is looking for an associate attorney to join its Business Department with a minimum of 3-5 years' experience in the areas of mergers and acquisitions, corporate securities transactions and other significant business transactions.
The qualified candidate will have the following skills:
• Experience drafting and negotiating acquisition agreements, disclosure schedules, and ancillary transaction documents.
• Experience coordinating and managing due diligence processes.
• Familiarity with entity structures, purchase price mechanisms, and closing mechanics.
• Experience working with tax, employment, real estate, IP and other specialists on transactions.
• Ability to prepare a variety of legal documents.
• Strong research and analytical skills, with an ability to interpret and apply complex legal concepts.
• Ability to manage complex and multiple tasks and meet deadlines.
• Strong written and oral communication skills, with the ability to explain complex legal concepts to clients and colleagues.
• Strong commitment to and support for pro bono activities.
• High level of professionalism and integrity.
Mandatory Requirements:
• J.D. and strong academic record from an ABA-accredited law school.
• Oregon State Bar admission or eligibility for immediate reciprocity.
• Proficiency in legal research software and Microsoft Office Suite.
